The Company, hereinafter referring to Hive Digital Solutions’s business owners, representatives, agents, and the employees of Hive Digital Solutions.
The Customer, hereinafter referring to companies, parties, business owners, representatives, agents, and the employees of the party which decided to consume any and/or all services by The Company.
The Services, hereinafter referring to part of / all services provided by The Company, which including web design & development, performance & social media marketing, search engine optimization, web & email maintenance, and etc.
Features & Prices stated on each package are final.
Unless both parties discussed and with mutual agreement, which then customize based on existing packages.
Refund is not available throughout The Company workflow.
All necessary information, instructions, contents, attachments and etc.(hereinafter referred to as "material") shall be well prepared and provided by The Customer.
All artwork not limited to posters, flyers, attachments, videos, and etc.(hereinafter referred to as "material") shall be prepared and provided by The Customer.
All "material" for website design must hand in as soft copy. To translate hard copy material into website content may prolong the delivery date.
All "material" provided by The Customer are presumed to be legal, authorized / copyrighted by The Customer. The Company shall bear no responsibilities of any form for any intellectual property rights infringement / any illegal behavior caused by the misconducted material from The Customer and any loss of respective parties.
14 working days delivery started after payment and all relevant material are received from The Customer.
14 working days delivery is not inclusive of ad hoc requirements / amendments / changes / relevant material for web design and development.
The Company shall perform and deliver The Services based on date specified for the order, but any such dates shall be estimates only and shall not be of the essence for the provision of The Services.
The Company shall not responsible for any delay of The Services throughout the its delivery which caused by inevitable event or The Customer failed to provide / comply The Company adequate delivery instructions or any other instructions relevant to the supply of The Services.
The Customer shall be obliged to inform The Company immediately regarding to changes of domain name, website, technical setup, online campaign matters (including but not limited to new instructions, budget, etc.) and any other material / information of technical infrastructure which impact to The Services delivery directly / indirectly.
The Company is given authority to manage and optimise The Customer landing page, website (including but not limited to access content management system, FTP, website documents directly or remotely), online campaign (including but not limited to budget management, keyword strategy, and etc.) and any others platform (own by The Customer) related to The Services fulfillment.
The Customer shall allow, grant, and responsible for The Company to access The Customer use of site’s FTP or content management system with permitted login credentials throughout The Services fulfillment.
Should The Customer decided to use / procure own facilities (including but not limited to credit card, domain name, website / email hosting) for The Company to deliver The Services. The Customer is solely responsible for all risks of the decision.
The Customer is required to write and inform The Company officially (at least 5 working days before), for The Company to process and prepare for transfer of hosting or domain name.
The Company may at The Customer’s cost and expense to relocate The Customer’s hosting at any time and from time to time and any places where it shall deem fit in its sole discretion. And The Customer shall not interrupt The Company in the exercise of its discretion herein.
The Company may at any time and from time to time at its sole discretion disrupt The Services while conducting routine tests, maintenance, upgrade or repair, to any system used for The Services.
The Services in which including but not limited to performance & social media marketing and search engine optimization, are subject to the terms and conditions imposed by Google, Facebook and / or other third-party service platforms and may be updated from time to time, which The Customer acknowledges and agrees that it shall observe. In the event any circumstances arising during the online campaign, the official statement from Google, Facebook and / or third-party service platforms shall be final and binding on The Customer and The Company.
The Customer shall pay the fees to The Company in accordance with the payment terms set out in quotation(s). Failing to comply the aforementioned term, The Company reserves the right at its sole discretion to suspend and / or terminate The Services.
All service fees for The Services are exclusive of any taxes, duties or any other governmental levies or financial charges. The Customer agrees to pay and be responsible for any such taxes, levies or charges on the sale and use of The Services in addition to our service fees. In the event The Company is required by any applicable law to collect any taxes or duties, The Customer agrees to pay such taxes or duties to The Company.
The "Revision" which stated on web design & development packages, is referring to changes which allow during the website design flow.
"Revision" covers changes on website layout design, such as color tone, font size, element arrangement and etc.
No major design / structure changes are allowed during "Revision", such as change of theme design.
No major changes are allowed once after website design is confirmed and accepted by both parties, such as replace finished design page with a new one. This scenario will incur additional page / stock photo cost or deduct page / stock photo available which included within the package.
Domain Name Registration
Domain name registration will be restrained based on its availability. The Company shall register the designated domain name given that it hasn't registered or taken by any others party yet.
The Company is not obligated to try and register a domain name which already registered and taken by speculators for The Customer.
The Customer is allowed to choose another domain name (with same domain extension / value), only if the previously chosen one is no longer available and failed to register it.
Domain name registration will be processed once after payment is received successfully by The Company.
Website & Email Maintenance Service Statements
All necessary information, instructions, contents, attachments and etc. shall be well prepared and provided by The Customer, and then email to [email protected] or raise a ticket request via The Company ticketing system.
All artwork inclusive of website banners, posters, flyers, attachments, videos, and etc. shall be prepared and provided by The Customer.
All material for website maintenance must hand in as soft copy. To translate hard copy material into website content will consume more token (man hour) for proofreading as well.
All support requests must send in by the authorized liaison using designated correspondent email account only.
Website support service covering for text / content update, add / replace image, and add / replace video only.
Email support covering for create & remove email account, alter mailbox space quota, and forwarding mail. (Email migration and setup are excluded)
Each valid request shall normally take 3 to 5 working days to process. (This is referring to request turnaround time, and it's not a factor to token consumption)
Despite of all tailored made features and designs are not under The Company support service coverage, it will subject to availability.
All material provided by The Customer are presumed to be legal, authorized / copyrighted by The Customer. The Company shall bear no responsibilities of any form for any intellectual property rights infringement / any illegal behavior caused by the misconducted material from The Customer and any loss of respective parties.
1 token is equivalent to 1-man hour in general.
Support tokens are not transferable and non-refundable.
Support tokens are valid for 1 calendar year only. (From the date of payment received by The Company)
Each valid support request shall consume at least 1 token.
The Company support team shall assess the amount of token consumption for each request, based on its requirements, complexity, and required man hour(s).
The Company support team shall start the work and deduct necessary amount of token available, based on professional assessment earlier without prior notice to The Customer.
All request assessments and analyzations are carefully done based on The Company support team expertise and The Company resources availability.
Each valid support request will not get processed in the event of insufficient token(s), and The Customer shall be informed by The Company support team.
In the event of any and/or all service disruptions during the service subscription period(hereinafter referred to as "service disruption period"), The Company shall strive to recover the service(s) with all effort and available resources.
The Company shall not accountable for any and/or all claims whatsoever present or future for incident known as "service disruption period".
All stock photos and/or videos which purchased and applied by The Company within each projects and/or works(hereinafter referred to as "applied stock media"), are subject to the license permitted by the stock photo and/or video provider(s).
Any and/or all "applied stock media" is with license granted and solely for The Company usage only. The Customer is strongly recommended to consult with The Company in order to use "applied stock media" for other purposes.
For The Customer who utilized "applied stock media" in any and/or all forms without permitted license, shall bear the full responsibilities and risks of intellectual property rights infringement. The Company shall be exempted from any and/or all form of responsibilities for such wrong doing which done by The Customer.
The Company does not guarantee success of any outcome or transaction after engagement of any of The Services.
The Company shall not be liable for any direct / indirect / consequential loss arising under or in relation to The Services which may be suffered by The Customer. Regardless of kind of losses including but not limited to loss of profits, loss of business opportunity, loss of data, fraudulent clicks on any of The Customer’s accounts managed by The Company.
The Company shall not be liable for interferences / disruptions which including but not limited to downtimes, malware / virus attacks / infections, hacker incidents, faulty third-party software / application / platform, search engine’s algorithm / changes. In the event of The Customer requested The Company to recover / fix / solve the matter, The Company shall charge to The Customer separately.
The Company shall not be liable to any changes made by The Customer or third-party employed by The Customer with / without prior notice. These changes in which with direct / indirect impact to The Services delivery including but not limited to domain name, website, links, technical setup and etc.
The Company shall not be liable for delayed or non-conforming performance caused by changes made on standard terms, assessment algorithms, search criteria, viewing policy, prices and campaign offers or other matters beyond The Company’s control and reserves right to make changes to The Services as result of the same.
The Company shall not liable for The Services (including but not limited to search engine optimization, link building, online advertisements, online banners) on position / frequency & consistency in searches on relevant words, or a minimum of views or interactions with, certain volume of traffic, number of clicks, goals (conversions / views / likes).
The Company shall not liable for URL(s) dropped or excluded by search engine for any reasons.
The Company shall recommend The Customer to implement practises accordingly on websites / platforms / technical setup in which solely under The Customer’s supervision which benefits to relevant The Services. The Company shall not liable to any losses or lack of success experienced by The Customer related to The Services, while The Customer failed to comply and implement such practises in which been recommended earlier.
The Company reserves the right at its sole discretion, to cancel, withdraw, restrict, suspend, vary or modify any of The Services (whether in whole or in part).
The Company reserves the right to adjust its pricing structure, discounts and payments conditions from time to time at its sole discretion.
The Company shall only start to deliver the corresponded service(s) after payment and/or necessary details & material are received from The Customer, and this applies to all services under The Company.
The Company reserves all rights to revise the terms and conditions above without prior notice.
